Procedure for Amalgamation The terms of amalgamation are finalized by the board of directors of the amalgamating companies. A scheme of amalgamation is prepared and submitted for approval to the respective High Court. Approval of the shareholders' of the constituent companies is obtained followed by approval of SEBI.

Amalgamation is the combination of two or more companies into a brand new entity by combining the assets and liabilities of both entities into one. This differs from a traditional merger in that neither of the two companies involved survives as an entity.

A “short-form amalgamation” is an amalgamation between certain affiliated corporations that requires only the approval of the directors. Short-form amalgamations can be either vertical or horizontal.

There are two types of amalgamation, including merger and purchase methods. In both cases, the legal entity of the preexisting companies vanishes, replaced by a new company with combined assets and liabilities.

Short form. Amalgamating corporations may proceed by short-form amalgamation if one corporation is wholly owned by the other (a short-form vertical amalgamation) or if the amalgamating corporations are all wholly owned subsidiaries of the same holding body corporate (a short-form horizontal amalgamation).

There are two types of amalgamation, including merger and purchase methods. In both cases, the legal entity of the preexisting companies vanishes, replaced by a new company with combined assets and liabilities.

A horizontal short-form amalgamation involves two or more wholly-owned subsidiaries of the same holding corporation. The shares of all but one of the subsidiaries will be cancelled as part of the amalgamation with no repayment of capital in respect of those shares.
