Once you have finalized your corporate resolution, the person who brought the decision to the board or whoever will be charged with enacting it must sign. This is generally a board member or a corporate secretary.

Generally, a corporate resolution is created, voted upon, and signed at a corporate meeting. The resolution will then be detailed in the meeting minutes including information about whether the resolution was approved or voted down.

Like every legal document, resolutions need to be signed and dated by the members of the board as they would do with minutes of meetings.

The resolution number can go to the top right corner of the document. The number differentiates board resolutions, usually by the order they are approved, so it's easy to reference them. There's no fixed way of numbering your resolutions. However, consider numbering them chronologically.

All eligible directors must either sign copies of the written resolution, or otherwise agree to it in writing. A sole director will usually make decisions by written resolution.

However, most of the time, all the directors and shareholders will need to sign a circulating resolution. As a result, you should consider the requirements of your company's constitution to determine who has to sign.

Date of resolution means the date on which the resolution is signed by, or on behalf of, the last member to sign. All signatures need not be on the same document provided each copy accurately states the terms of the resolution.
