When you amend a contract, you change the original contract in some way. This can include adding, deleting, or correcting portions of the contract. The contract amendment does not replace the entire contract, but often substitutes a part of it.

It is not illegal to alter a contract once it has been signed. However, it must be materially changed, meaning that if an important part of the contract is altered by the change, it must be made by mutual consent of both parties.

If you discover a mistake in a contract, one consequence may be that the contract becomes void ab initio. This means that the court takes the contract as not existing, based on this mistake. Alternatively, it can rule that the parties never lawfully entered into the contract.

A change to an existing contract is a modification. A contract modification could change the scope of the contract, the price of the contract, or both.

This means that the contract can be rescinded, or canceled, if the other party knew or should have known about the contract mistake. A mutual mistake is when both contracting parties make a material mistake. A contract won't usually be legally enforceable when both parties make a mistake.

If the parties agree to rectification, they may correct the mistake by entering into a deed of rectification. This is essentially an agreement to vary the contract. (A deed makes it unnecessary to identify consideration for the change.)
