A deed is a written document which is executed with the necessary formality (that is, more than a simple signature), and by which an interest, right or property passes or is confirmed, or an obligation binding on some person is created or confirmed. Deeds are generally enforceable despite any lack of consideration.

Attorney in Fact ? One who holds a power of attorney from another allowing him or her to execute legal documents such as deeds, mortgages, etc., on behalf of the grantor of the power.

Witnessing a Signature It is relatively straightforward for someone to witness you signing a contract. Your witness simply has to watch you sign the document and then sign it themselves to confirm they saw you sign it.

There are only a small number of documents that require execution by way of a deed. These include land transfers, leases, mortgages and charges, sales by a mortgagee, appointments of trustees, powers of attorney, gifts of tangible goods that are not accompanied by delivery, and releases and variations.

The essential elements of execution are that it is signed (often in front of a witness), sealed (although rarely required these days) and delivered. Traditionally delivery meant literally that, i.e., handing over the deed to the person who was to take the benefit of it.

Essential Elements for Deeds: Properly executed deeds must: (1) be in writing; (2) name the grantor and a grantee; (3) be signed by the grantor or the grantor's agent; (4) be delivered to the grantee; and (5) be accepted by the grantee. Cordano v. Wright (1911) 159 Cal.

Essentially they differ, as the limitation period for bringing a claim, or conversely the liability for defending a claim, is six years for a contract that is executed under hand, whereas for contracts executed as a deed the period of limitation is twelve years.

For borrowers who are Singapore companies, deeds may be executed by (a) affixation of the common seal of the company in accordance with the terms of its constitution1, or (b) without its common seal by signature of prescribed officials of the company2.

A deed must be executed: 2022 by affixing the company's common seal 2022 under s 127 of the Corporations Act or 2022 by an attorney (see below). Similarly, a CATSI Act corporation must execute a deed: 2022 by affixing the corporation's common seal 2022 under s 99-5 of the CATSI Act or 2022 by an attorney (see below).

Unlike a contract, which requires both parties to give something of value, a consideration, to one another, a deed will be enforced even if only one party makes a promise to the other and receives nothing of value in return.
