A terms of reference (ToR) is a document which articulates the scope of work for a taskforce and how the people identified in the ToR will work together in the pursuit of a shared goal.

Each project requires a unique SOW that outlines the specifics of that engagement. That said, almost all SOWs will include seven elements: the Scope of Work, deliverables, time and resources, payment terms, client services, changes, and terms and conditions.

Terms of reference (TOR) define the purpose and structures of a project, committee, meeting, negotiation, or any similar collection of people who have agreed to work together to accomplish a shared goal. Terms of reference show how the object in question will be defined, developed, and verified.

The use of the terms TOR and SOW essentially refer to the same thing and serve the same purpose. For professional services contracts, it is more appropriate to use the term TOR as a common practice.

A statement of work means all provisions of a contract that describe the services or work to be performed or products to be delivered by a contractor, subcontractor, or agency, as specified in the document. A statement of work's products may include any related technical specifications, deadlines, or deliverables.
