Affix Company Deed For Free

Since the 1989 Companies Act abolished the requirement for a seal, not even a deed has to be executed under seal, provided it is signed by a director and secretary, or two directors, of the company and is expressed to be executed as a deed.

When company documents are signed the stamp is affixed near the signatures on the document. Therefore, it is used on a variety of corporate documents (e.g. contracts, agreements, minutes of meetings, etc.).

Execution of a deed was traditionally done through the signatures of two company directors, one director and the company secretary or by affixing the company's common seal to the document.

There is no longer any requirement that the document should be sealed. The document must, however, make it clear 'on its face' that it is intended to be a deed, and it must be 'validly executed' by the person making it or the parties to it.

A corporate seal is no longer required by LLCs or Corporations and any state in the United States. Although both a corporate seal and official stock certificates were once required for corporations, like spurs on a boot, these remnants of the past are no longer functional or relevant.

Execution of deeds by a Company Under Section 43 of the Companies Act, when the seal of the Company is to be affixed to a document then that affixing must be authorised by the Directors.
