Include information about forms of compensation, types of securities, and limitations on issuers. Also, detail the recordkeeping policies and procedures, and attach the written procedures addressing key subjects outlined in the form.
- In the Restricted or Prohibited Activities section, attach a signed statement indicating adherence to federal securities laws. Include written procedures ensuring compliance with prohibited actions.
- Describe the systems and contractual relationships the funding portal will utilize, including operational systems and business relationships. Attach relevant contracts or agreements associated with these relationships.
- In the Funding section, identify sources of funding and provide necessary documentation evidencing capital contributions. Include bank statements and checks that reflect funding history.
- Discuss ongoing operations by attaching any expense sharing agreements and describing plans for future funding as needed.
- For Disclosure Information, answer whether there are any pending regulatory actions involving the FP Applicant or associated persons. If yes, provide details of each event along with associated names and roles.
- Finally, in the Designated Signatory section, certify that all information is accurate and complete. Provide the date of execution and print the executive officer’s name for record-keeping.
- Once all fields are completed, save your changes, and consider downloading, printing, or sharing the completed form as needed.
