A 4 way novation agreement is a legal contract that involves the substitution of one party for another in a contract, with the consent of all parties involved. It effectively releases one party from their obligations and replaces them with a new party, while maintaining the validity of the original contract.

Novation, in contract law and business law, is the act of – replacing an obligation to perform with another obligation; or. adding an obligation to perform; or. replacing a party to an agreement with a new party.

Generally, novation is sometimes called a substituted contract. In this context, a novation is a new obligation that extinguishes and replaces an old contract or obligation. Novation can be used as a defense against any claim from the old agreement because the old agreement is void.

The 2005 Novation Protocol offers parties to the various Master Agreements published by ISDA an efficient means to agree to a uniform process by which consents to transfer of interests in Credit Derivative Transactions and Interest Rate Transactions (Covered Transactions as defined in the Protocol) may be obtained.

ISDA Novation Protocol sets out a process by which the Transferor, the Transferee and the Remaining Party will communicate prior to or concurrent with a transfer by novation of a Covered Transaction and anticipates that the transfer must be requested and provided using one of the specified electronic means.

The Protocol offers parties an efficient way to make amendments to their documentation to accommodate the transfer by novation of Covered Transactions and, in some cases, the Cancellation of Linked Covered Transactions.

The term “novation” is also used in the derivatives markets. It refers to the arrangement where security holders transfer their securities to a clearinghouse, which then sells the transferred securities to buyers.
