A material change includes most items disclosed on the Form ADV Part 2A, such as the registered investment advisor firm's services, investment advisory fee arrangements, relationships with related persons and outside entities, changes to advisory personnel, and changes to the organization.

4. When am I required to update my Form ADV? SEC- and State-Registered Advisers: o Annual updating amendments: You must amend your Form ADV each year by filing an annual updating amendment within 90 days after the end of your fiscal year.

The first part contains basic facts about the firm, like its fees, client types, assets under management and any disclosures. To amend your Form ADV, you must take the following steps: Log onto IARD and in the Forms section choose ADV New Filing. Select the filing type: Submit an Other-than-Annual Amendment. You can now begin to enter the appropriate information on the Form ADV.

Complete Schedule A only if you are submitting an initial application. Schedule A asks for information about your direct owners and executive officers.

An investment adviser firm only needs to deliver once per year no later than 120 days after the investment adviser firm's fiscal year-end either (1) the current Form ADV Part 2A brochure with material changes made within the prior one-year period or (2) a summary of material changes made within the prior one-year ...

The ADV Part 2A contains eighteen (18) disclosure items, each to be included in the investment adviser's Brochure. Each disclosure item is to receive a narrative, plain English response.
