When a person owns a percentage of a foreign partnership, they may also need to report it on a form 8938… unless they meet the threshold requirement of having to file form 8865. In that case, individual will file a form 8865 instead of a form 8938 as to that particular interest in the foreign partnership.

U.S. persons with a significant interest in a foreign partnership are required to file Form 8865. This includes those who: Control the foreign partnership (Category 1). Own a substantial interest in a partnership controlled by U.S. persons (Category 2).

You are required to file Form 8858 along with Schedule M (Form 5471) if you are a US citizen who during an annual accounting period or tax year does either of the following: Owns FDE for tax purposes, Operates an FB (foreign branch), Owns interest in entities that are tax owners of FDE or FBs.

Code 8865 applies to employers engaged in operating group homes, drug or alcohol rehabilitation centers, halfway houses, homes for mentally disabled persons, temporary shelters and independent supportive living homes where no medical services are provided.

Form 8865 is a counterpart to Form 5471. While Form 5471 is used to report foreign corporations, Form 8865 is used to report foreign partnerships.

You can only file Form 8865 electronically if it's attached to the filer's electronic file. You can't file it separately. Within the 1065 client, create the electronic file as you would for any other electronic return.

Not complying with these obligations can result in penalties starting from $10,000 for every Form 5471 or 8865 that is not timely filed. For every month the delay persists (beginning 90 days post IRS notification), an additional $10,000 is charged, capped at $60,000 per return.
