Ratification occurs when a disclosed principal adopts or confirms a contract entered into on his or her behalf by an agent who did not have authority to act. Unlike apparent authority, the third party does not have to be injured. Rather, ratification allows principals to enter into contracts for their benefit.

Ratification. Even if the agent possessed no actual authority and there was no apparent authority on which the third person could rely, the principal may still be liable if he ratifies or adopts the agent's acts before the third person withdraws from the contract.

In the law of agency, ratification by undis- closed principals is treated differently from ratification by disclosed or partially disclosed principals. The generally accepted rule is that undisclosed principals cannot ratify contracts that their agents have entered into on their behalf.

Ratification applies if (1) the alleged agent represented [himself] [herself] to be acting for the principal (whether or not the plaintiff was aware of the alleged agent's lack of authority), and (2) the principal, having knowledge of the facts, thereafter ratified the contract negotiated by the alleged agent.
