An assignment is the legal transfer of ownership of any property such as a trademark or copyright from one owner to another. The transferee or "assignee" is the person who acquires ownership, and the transferor or "assignor" is the person who transfers ownership rights.

Assignment involves a transfer of ownership and control, while licensing involves the grant of a right to use IP without transferring ownership. In the same way you can with tangible property; licensing is like renting the IP and assignment is selling the IP to a new owner.

A licence to assign is a landlord's permission for a tenant (the assignor) in occupation under a lease to assign the lease to a new incoming tenant (the Assignee). It should be noted that this permission does not necessarily need to be in a formal deed.

How does an exclusive license differ from an assignment? While both exclusive intellectual property licenses and intellectual property assignment agreements give exclusive exercise of that right to another person in exchange for monetary compensation, an exclusive license is much more limited than an assignment.

Using the Recordation System. The new Recordation System allows users to electronically submit transfers of copyright ownership and other documents pertaining to a copyright for recordation. Use of the Recordation System is optional and is governed by 37 CFR § 201.4(h) and the Special Pilot Program Rules.

Licenses provide authorized usage of copyrighted material, while copyright establishes the ownership and control of intellectual property.

Recording a transfer of copyright ownership or other document pertaining to a copyright with the Copyright Office under section 205 is voluntary.
