Limited Liability Company: A Texas limited liability company is created by filing a certificate of formation with the Texas Secretary of State. The Secretary of State provides a form that meets minimum state law requirements. Online filing of a certificate of formation is provided through SOSDirect.

Once you have set up a regular Texas corporation (C-Corp) with the State of Texas, to become an S-Corp you must make an election with IRS in order for your corporation to be recognized as an S-corporation. This form is called IRS Form 2553. It must be filled out and faxed or mailed to IRS.

Complete and file a Certificate of Formation for your Texas PLLC The entity name and type. The registered agent name and address. The names and addresses of all initial members and any managers if the PLLC will be manager-managed rather than member-managed. The type of professional service to be provided by the entity.

A Texas partnership registered as a Texas limited liability partnership (LLP) is required to file an annual report with the secretary of state no later than June 1 of each year following the calendar year in which the application for registration takes effect.

Typically, PLLCs benefit from what is referred to as “pass-through” taxation. This means that the business entity itself does not pay taxes to the federal government. Rather, income for the business is taxed at the individual level and paid on the tax returns of the PLLC members.

As far as taxes are concerned, a PLLC is taxed like a sole proprietorship. It is a flow through entity, so all income and earnings passes through the entity, for you to claim on your schedule C, with your 1040. However, a PLLC can elect to be treated as an S corporation by the IRS, for tax purposes.

Unlike most other states, Texas imposes a franchise tax on most LLCs. (More information on this tax is available in other Nolo LLC articles.) Moreover, a PC can elect a special tax status (S corporation status) that effectively makes it a pass-through tax entity like a PLLC.

Texas allows professionals to form both PLLCs and PCs, and both PLLCs and PCs provide liability protection for, respectively, their members or shareholders. Because the protection is essentially the same for both PLLCs and PCs, but PLLCs are simpler to create and operate, many professionals prefer the PLLC structure.
