A foreign disregarded entity or “DRE” exists when a Taxpayer makes an election to treat a foreign entity with a single owner as disregarded from its owner (i.e., a branch) for U.S. tax purposes. The election is commonly referred to as a “check-the-box election” and is made on Form 8832.

You will need to file Form 8858 if you are the owner of a foreign entity that is considered a disregarded entity for US income tax purposes. To elect to classify your business as a disregarded entity, you will want to complete Form 8832: Entity Classification Election and file this with the IRS.

The tax owner of the FDE is the person that is treated as owning the assets and liabilities of the FDE for purposes of U.S. income tax law. The direct owner of an FDE is the legal owner of the disregarded entity. For example, assume A, a U.S. individual, is a 60% partner of a CFP.

Form 8858 is the Information Return of U.S. Persons with Respect to Foreign Disregarded Entities. This means that anyone who has business assets outside of the U.S. but is a U.S. citizen or using a Green Card, will need to file this form to declare their business finances alongside their Federal Tax Return.
