A Partnership Dissolution Agreement is an agreement between two or more partners to end a business partnership. Signing a Partnership Dissolution Agreement will not immediately end the partnership.

There are three causes of dissolution: (1) by act of the partners—some dissociations do trigger dissolution; (2) by operation of law; or (3) by court order.

Reasons for Dissolution of partnership Death of a partner. Admission of a new partner. Insolvency of an existing partner. Early retirement of a partner. Due to expiry of a partnership period after a certain time as mutually agreed upon by all partners.

While both words are concerned with the end of a business partnership, dissolution refers to the process itself, and usually to the departure (or death) of one or more individuals from the entity, while termination refers to the cessation of all operations, including the disposal of all assets.

The first is voluntary dissolution, which is an elective decision to dissolve the entity. A second is involuntary dissolution, which occurs upon the happening of statute-specific events such as a failure to pay taxes. Last, a corporation may be dissolved judicially, either by shareholder or creditor lawsuit.

Dissolution Agreements are particularly important in partnerships, because in their absence there may be no clear end to the partnership and partnership liability may continue indefinitely. It is important to document when a partner or co-owner leaves a business or when a business must be closed or shut down entirely.
