Unincorporated structures that can be used by charities include unincorporated associations, partnerships and trusts. The CIO is a new legal form for a charity crafted in response to requests from charities for a new structure which could provide some of the benefits of being a company but without some of the burdens.

The CIO is the newest structure, introduced in 2013. It is a corporate form specifically designed for and available only to charities. Like a charitable company, a CIO must have both members and trustees.

- The structure, in effect, allows charities to enter into contracts as corporate entities with limited liability for trustees and members. ... - A CIO is one of four common types of charity, with the others being a trust, an unincorporated association and a charitable company, limited by guarantee.

Aim for a minimum of three unconnected trustees with a good range of skills. You need enough trustees to govern the charity effectively. It's also important to keep your board small enough to arrange meetings easily and allow effective discussion and decision making.

Generally, charities can't pay their trustees for simply being a trustee. Some charities do pay their trustees they can only do so because it's allowed by their governing document, by the Charity Commission or by the courts.

If it doesn't, it is good practice for your charity to have at least three trustees, usually consisting of: a chair, secretary and treasurer. There is no upper limit of trustees you can have, but too many could become unmanageable. A SCIO must have at least three charity trustees.

For good practice, a CIO should have at least three charity trustees. If the number of trustees falls below the minimum specified in the constitution, the provisions in clause 12(3) will enable the remaining charity trustees to appoint new trustees and prevent the CIO from becoming inoperable.
