To have a contract rescinded, a judge must determine that there is a valid reason to undo the contract. Since a contract is a legally binding agreement between two parties, it cannot be rescinded because the parties have simply had a change of mind.

The Basic Law of the Right to Rescind [See California Civil Code §1689] Rescission extinguishes the contract, terminates further liability on the agreement, and restores the parties to their former positions. Rescission may take place if one of the contracting parties lacks the ability to legally enter into a contract. For instance, when a party is under 18 years of age, intoxicated, mentally incompetent, or ill, a party cannot enter into a contract.

Rescission is when a contract is rendered null and void, and so is no longer recognized as legally binding. The courts can free non-liable parties from their agreed obligations and, when possible, will effectively seek to restore them to the position they were in before the contract was signed.

The right of rescission applies only to the addition of the security interest and not the existing obligation. The creditor shall deliver the notice required by paragraph (b) of this section but need not deliver new material disclosures. Delivery of the required notice shall begin the rescission period.
