Signing is always a way to show the other party that you're serious. In most cases, however, there is no need for an elevated demonstration of seriousness.

A letter of intent (LOI) is a written, nonbinding document that outlines an agreement in principle between two or more parties before a legal agreement is finalized. It is often used in business transactions, such as mergers and acquisitions, joint ventures and real estate leases.

In a business-to-business transaction, a letter of intent normally contains a provision stating that the letter is non-binding. Even if such language is not included, it is possible a court would rule that the letter is only an expression of intent.

A letter of Intent (LOI) is a special type of agreement that doesn't always require a signing. It acts as a way for one party to deliver their intentions to buy or sell something.

Who Initiates a Letter of Intent and Who Signs it? A buyer will typically initiate a letter of intent. They may get assistance from their attorney in drafting the letter of intent. Once both the buyer and seller have come to agreement on the terms in the LOI, both the seller and the buyer will sign it.

State that you look forward to an interview and/or talking to someone in more detail about the position and your qualifications. End the letter with an appropriate closing such as “Thank you for your time and consideration” or “Thank you for giving my application full consideration.”

Although letters of intent are not generally legally binding, you can include wording to make certain terms in your letter legally binding. Typically these will include confidentiality and exclusivity terms.

In all cases, both parties (buyer and seller) should sign the letter of intent. This process typically takes two or more revisions before the parties will agree to sign.

In an LOI that is intended to be binding, both buyer and seller will want to state the representations and warranties being given or excluded. A binding LOI will likely have a clause requiring the parties to negotiate (the definitive agreement) in good faith.
