General Partnership - Statement of Partnership Authority (Form GP-1)

In California, the partnership must file a Statement of Dissolution with the Secretary of State. The partnership is then responsible for distributing or liquidating the partnership assets. The owners of a general partnership can be individuals or corporations—or both. With no formal documents required, general partnerships are simple and inexpensive to create. All the company needs is a registered trade name, a registered tax number to pay applicable taxes and a bank account.

Reporting Partnership Income A partnership must file an annual information return to report the income, deductions, gains, losses, etc., from its operations, but it does not pay income tax. Instead, it "passes through" profits or losses to its partners.

A partnership may be created without formalities, much like a sole proprietorship. Two people merely need to agree to own and conduct a business together to create a partnership. Partners each have unlimited liability for the obligations of the business.

A statement of authority definition is an optional declaration of the owners and partners responsible for a business. It is also often called a statement of partnership authority.
