There is no legal time limit on business liquidation. From beginning to end, it usually takes between six and 24 months to fully liquidate a company.

The full timeline of a Member's Voluntary Liquidation (MVL) takes around six months to a year to complete, but this depends on the complexity of the business.

The liquidator takes control of the company's affairs and almost all powers of the directors cease. The liquidator disposes of all the company's assets and, after paying the costs and expenses of the liquidation, distributes any remaining money to the creditors.

MVL involves appointing a licensed insolvency practitioner (IP) so you wouldn't be winding up your own company, but it's hugely beneficial to seek advice from a licensed IP in either case.

The entire process usually takes between six months and two years, depending on the complexity of the company and the number and nature of assets to be realised. If the liquidators embark on litigation, this process can extend for a number of years.

Completion of voluntary liquidation The liquidator shall endeavor to complete liquidation within 90 days from commencement in all other cases.

To vote for a voluntary liquidation, the shareholders must: hold a general meeting of the company; and • pass a resolution for voluntary winding up (as for members' voluntary liquidation). The company can nominate an authorised insolvency practitioner as liquidator.
