The COR 15.1 A, also known as the memorandum of incorporation (MOI) confirms the total amount of shares the company is authorized to issue to the future shareholders of the company. You will receive this document after you registered your company.

The Notice of Incorporation comprises Form CoR 14.1, issued in terms of the Companies Act 2008. A signed Notice of Incorporation is required when you register a new company. You will also need to attach your Memorandum of Incorporation to the application.

CoR15.1B: Memorandum of Incorporation – Long Standard Form for Private Companies. CoR15.1C: Memorandum of Incorporation – Short Standard Form - Non-Profit Companies without members.

The Notice of Incorporation – Initial Directors Form is issued in terms of the Companies Act 2008. A signed copy of this form is recommended when you register a new company. This form will need to be attached to your Notice of Incorporation. You will also need to attach your Memorandum of Incorporation to the notice.

CIPC only works with directors but the amount of shares issued is on your final documents in the MOI section of the paperwork. They have no further communication for shareholders. Shareholders own the company, without this the company would not be trading correctly and no one would know who the owners are.

Section 15(2)(b) and (c) allows a company's powers to be restricted by informing the public that a company's powers are either limited or restricted where a company's name is followed by the expression “RF”, an acronym for ring-fenced.

This form contains the Notice of Amendment of Memorandum of Incorporation. A notice of amendment must be filed within 10 business days after the amendment has been effected.
