When you appoint a director during or after company formation, you will be asked to provide their business occupation. You can list the occupation of a company director as a specific profession (if the director has one) that is relevant to their appointment, or you can simply state Director .

Companies House Form AP01 Appointment of Director Companies House Form AP01 is used to appoint an individual as a company director. The appointment must be registered with Companies House within 14 days of their appointment.

Section 149(1) of the Companies Act, 2013 requires that every company shall have a minimum number of 3 directors in the case of a public company, two directors in the case of a private company, and one director in the case of a One Person Company. A company can appoint maximum 15 fifteen directors.

To add a person to your C-corporation, amend the articles of incorporation in the state where the corporation was established. The articles of incorporation is a drafted document indicating the business name, owner and the initial shares of stock as well as other unique details about the business.

Who can appoint directors? A company can appoint a director by resolution at a general meeting (s 201G of the Act). A board may occasionally need to appoint a director to retain a quorum or to fill a casual vacancy.

It's a legal requirement for a private company to have at least one director. A public limited company needs to have at least two directors, who must be separate to the company secretary.

There is no statutory limit to the number of directors a company appoints during or after incorporation, but there must always be at least one natural (human) company director. A single person can be the sole director and shareholder of a company.

Notify the proper corporate body that a meeting is to be held to vote on a motion to add directors (the proper corporate body may be the shareholders or their proxies or the current board of directors, depending on how the bylaws are written). In the notice, set the date, time and place for the vote.
