Anyone who provides investment services to their clients is expected to file SEC Form ADV. This includes investment firms or individual advisers. It serves as a registration form with the Securities and Exchange Commission and it must also be filed with one or more state securities authorities.

The Form ADV Part 1 is also the vehicle to upload your Firm's Form ADV Part 2A (Firm Brochure) and Form ADV Part 2Bs (Brochure Supplements). Exempt reporting advisers, as opposed to RIAs, are required only to complete certain sections of Part 1 and do not complete Parts 2 or 3.

What Is SEC Form ADV Part 2A and 2B? Part 2 of SEC Form ADV serves as a brochure for the firm. It provides disclosures about key information about the company, including its business practices, fees, conflicts of interest, and any discipline that it faced in the past.

Purpose of the Form ADV The Uniform Application for Investment Adviser Registration (or more commonly known as the Form ADV) is used as the official application document to register as an investment advisor firm.

A SEC registered investment adviser firm must deliver a Form CRS/Form ADV, Part 3 relationship summary to each retail investor before or at the time the investment adviser firm enters into an investment advisory contract with the retail investor.

Exempt Reporting Advisers that are registering with any state securities authority must complete all of Form ADV. See Form ADV's General Instructions for more information. The IARD system will automatically include only the items of Form ADV that must be completed based upon the type of filing you chose to submit.

Part 2 requires investment advisers to prepare narrative brochures that include plain English disclosures of the adviser's business practices, fees, conflicts of interest, and disciplinary information. The brochure is the primary disclosure document for investment advisers and must be delivered to advisory clients.
