Straight vs. to order bill of lading The difference between a straight bill of lading and a to order bill of lading is the payment status of the goods being shipped. A straight bill of lading is issued when the goods have been paid for in advance by the consignee to the shipper.

A straight bill of lading—also called a consignment bill of lading—is non-negotiable. In other words, a straight bill of lading can't be given to another party after shipping or upon arrival. It's a binding document. It indicates that a shipment must go to the authorized consignee or their receiving party.

It is worth noting that a straight bill of lading never includes the phrase 'to order' in the consignee box (or wording elsewhere on the bill making clear that it is transferable) as this makes the bill a negotiable bill of lading. In this example Grain Trader Ltd is the shipper and Wheat Import AS is the consignee.

Straight bill of lading – used when the shipment has been paid for in advance and the carrier is delivering the freight to the buyer or other appropriate party. Order bill of lading – used when the goods are being shipped before they're paid for.

One can transfer the ownership of the shipment to another party by signing the bill. In a negotiable bill of lading, the new consignee is free to transfer the ownership of the commodities to another person. However, some BOLs are non-negotiable. Such a BOL is referred to as a straight bill of lading.

Typically the straight bill of lading is issued if buyer still owes payment for all or part of the goods. An “order” bill of lading: This is a negotiable form which is addressed “to order” or “to order of [a party]” instead of being consigned to the buyer.

A straight bill of lading is generally accepted to be one that makes the goods deliverable to a named consignee and either contains no words importing transferability or contains words negating transferability (such as "non-transferable").
