The BE–13, Survey of New Foreign Direct Investment in the United States, is a mandatory survey conducted by BEA under the authority of the International Investment and Trade in Services Survey Act (22 U.S.C.

Purpose: The BE-13 survey collects data on the acquisition or establishment of U.S. business enterprises by foreign investors and the expansion of existing U.S. affiliates of foreign companies to establish a new production facility.

Form BE-13, The Survey of New Foreign Direct Investment in the United States, is used by the US Bureau of Economic Analysis (BEA) to collect information about foreign owned or financed companies in the US. The survey is free, and only used to generate timely statistical information.

Who must file? The BE-12 survey covers U.S. affiliates in which foreign entities hold voting ownership interest (or the equivalent) of 10 percent or more. Go to bea.gov/be12 for reporting requirements, information on which of the BE-12 forms to file, and more.

Within 45 days of formation or acquisition, a US company with more than 10% foreign-ownership must file a Form BE-13 with the US Bureau of Economic Analysis, a division of the US Department of Commerce.

That is, if a foreign person (i.e., a non-US company or individual) owns, directly or indirectly, 10% or more of the voting securities of a US company, that US company must file a BE-12. Unlike other BEA filings, a BE-12 must be filed regardless of whether a US Affiliate is contacted by the BEA.
