By choosing a right of first refusal versus an option, the owner of the property has more control over the sale of their property, whereas with an option the holder can force the sale at will. With a Right of First Refusal, the holder must wait until the owner decides to sell the property.

When discussing real estate, the term right of first refusal refers to a clause in a lease or other contract that gives an interested buyer the contractual right to be the first party to put an offer on a property when a seller lists it on the market.

Right of first refusal (ROFR), also known as first right of refusal, is a contractual right to enter into a business transaction with a person or company before anyone else can. If the party with this right declines to enter into a transaction, the obligor is free to entertain other offers.

A right of first refusal is a contractual right giving its holder the option to transact with the other contracting party before others can. The ROFR assures the holder that they will not lose their rights to an asset if others express interest.

Duration: The ROFR is limited in time. For example, Abe must make the offer to Carl for any proposed sale only in the first five years. After that, the right expires and Abe has no further obligation to Carl. Exceptions include certain transactions.

Right of First Refusal Clause The right of first refusal is usually triggered when a third party offers to buy or lease the property owner's asset. ... Similarly, right of first refusal might give the holder the contractual right to match any offer the seller receives, though they can choose not to exercise that right.

Before the seller goes under contract to sell the property to someone else they must make the offer to the ROFR holder. The ROFR holder then has to agree to the same terms as the offer and if they do not respond within X days of their receipt of the offer they are deemed to have waived their ROFR.

Every RFR should be drafted as either an agreement or a contract (in which the holder gives some consideration, or pays for, the right). It may bind the current owner alone or run with the land. In either case, I would advise having it recorded.

The right of first refusal applies to sales as well as rentals. And with any sale or rental, the board has the opportunity to exercise its right of first refusal or to waive that right. ... The bylaws state that if the board does not exercise its rights within a certain period, it is deemed waived.
