Liaison and Branch Office are similar in terms of approval required and documents for setting up. However operationally they are varied, while a branch office mirrors the parent company, a liaison office only acts as a representative and has restrictions on operations.

A body corporate incorporated outside India (including a firm or other association of individuals), desirous of opening a branch Office (BO) in India have to obtain permission from the Reserve Bank under provisions of FEMA 1999.

A liaison office can be established after seeking permission from RBI under the provisions of Foreign Exchange Management Regulations (FEMA), 1999. Following are the requirements for opening an LO: Three-year record of profitable operations during the immediately preceding three financial years in the home country.

A liaison officer is an employee who builds and maintains mutually beneficial relationships, facilitates communications and coordinates activities among two or more people, agencies or organizations.

As per Section 9(1)(i) of ITA, a Liaison office would be liable to tax on its income in India in case it constitutes a 'business connection' with its Head Office.

A Liaison office can carry on only liaison activities, i.e. it can act as a channel of communication between Head Office abroad and parties in India. It is not allowed to undertake any business activity in India and cannot earn any income in India.

Branches of foreign companies are taxed on income that is received in India, or which accrues or arises in India, at the rates applicable to foreign companies. There is no WHT on remittance of profits by the branch to its head office.
