The Uniform Partnership Act (UPA) provides governance for business partnerships in several U.S. states. The UPA also offers regulations governing the dissolution of a partnership when a partner dissociates. Over the years, several amendments have been added to the Uniform Partnership Act (UPA).

(805 ILCS 206/202) Sec. 202. Formation of partnership. (a) Except as otherwise provided in subsection (b), the association of 2 or more persons to carry on as co-owners a business for profit forms a partnership, whether or not the persons intend to form a partnership.

The intended goal of the Uniform Partnership Act is to provide guidance to various business relationships. This typically applies to small businesses and loose partnerships as larger businesses have detailed agreements in place that govern any changes in a business.

An Illinois limited liability partnership is like a general partnership in that both business entity forms require more than one owner, but unlike a general partnership, a limited liability partnership offers all of the owners of the business limited personal liability for certain business debts.

UPA and RUPA differences RUPA is significantly more detailed than is the UPA as to the degree to which the partnership agreement may modify the default rules set forth in the statute. RUPA also clarifies the nature of a partnership itself by clearly defining it as an entity rather than an aggregation of individuals.

The main difference between these partnerships is that general partners have full operational control of a business and unlimited liability in the business sense. Limited partners have less liability and do not take part in day-to-day business operations.
