Secured transaction law governs the creation, perfection, priority, and enforcement of security interests in personal property. This area of law provides lenders with a legal mechanism to secure their loans with collateral provided by borrowers, balancing the interests of both creditors and debtors.

In general: (1) the creditor must give value, (2) the debtor must have rights in the collateral, and (3) there must be a security agreement or other action indicating an intent to convey a security interest. Once the security interest has “attached,” it is effective between the debtor and the creditor.

Under the rule for attachment, there are three requirements: (1) security agreement (though can have possession or control), (2) value (consideration), and (3) the debtor has to have rights in the collateral. For purposes of attachment, the debtor must "authenticate" a security agreement. In other words, the debtor must sign the written agreement that gives the secured party an interest in the collateral. (The UCC uses the term "authenticate" to include the possibility of electronic signatures.)
