Documents signed using an electronic means, other than an e-signature as prescribed under the IT Act, are not invalid. Section 10A of the IT Act states that contracts that are otherwise validly concluded will not be rendered invalid merely because they were made in electronic form.

It governs transactions relating to the conduct of business, consumer, or commercial affairs between two or more persons. E-commerce is optional; all parties to a transaction must agree before it can be used.

Generally, to be valid and enforceable, a contract must be signed by all parties. But recently, the Eighth Appellate District Court enforced the arbitration provision of a contract that was signed by only one party, demonstrating that a valid contract may form even if all parties have not signed the document.

The Indian Penal Code, the Banker's Book of Evidence Act 1891 and the Reserve Bank of India Act, 1934 also contain provisions in relation to such electronic contracts which contain digital signature. Under the Evidence Act, 1872, an e-agreement has the same legal effect as a paper based agreement.

Original Signature means the handwritten name of a person applied to a document that identifies the person, serves as a means of authentication of the contents of the document, provides responsibility for the creation of the document and provides for accountability for the contents of the documents.

In security terms, that means it is easily forged. Indeed, in the absence of proof, a scanned signature is considered to be a copy, and not an authentic signature! It is therefore not legally valid, particularly when contractual documents are concerned.
