Handwritten contracts are legally binding if they meet the necessary conditions that apply to all contracts: mutual agreement, capacity, consideration, and legal validity. There are no legal differences between typed and handwritten agreements when it comes to enforceability.

I recommend that you never use footnotes in a contract. Just say in a regular provision whatever needs saying. Using a footnote to suggest that what's in the footnote is of lesser significance is analogous to using the phrase in particular to highlight a provision (see MSCD 13.343).

Copying terms and conditions is illegal, and will ultimately do more harm than good for your business. Copying terms and conditions is a form of copyright infringement, which is a punishable legal offense.

In Anglo-American contract terminology, a copy of a contract is known as a counterpart. When a contract is signed, it is customary for each party to the contract to retain a counterpart of the agreement.

A document can even be referenced and made a part of the contract without providing it to the other party. Simply put: a document may be incorporated by reference into a contract by expressly identifying the referenced document and clearly stating the referenced document is a part of the contract.

When quoting a contract, you should write the quote and then include the page number and section where the quote can be found. If you cite a contract in a letter, you should inform the recipient that you can provide them a copy of the contract if necessary.

Each party should get an original signed copy of the contract for their files. That means if there are two parties to the contract, two identical contracts must be signed. One original copy of the contract should go to you, and one original copy should go to the other party.
