A deed is a signed legal document that transfers ownership of an asset to a new owner. Deeds are most commonly used to transfer ownership of property or vehicles between two parties. The purpose of a deed is to transfer a title, the legal ownership of a property or asset, from one person or company to another.

Company Deed means a deed of the Company conveying to the Issuer title to the Facilities or any portion of the Facilities, subject to Permitted Encumbrances, substantially in the form set forth as Exhibit B hereto.

A deed is a written document which is executed with the necessary formality (that is, more than a simple signature), and by which an interest, right or property passes or is confirmed, or an obligation binding on some person is created or confirmed. Deeds are generally enforceable despite any lack of consideration.

A company can sign a deed in the following ways: by affixing a the company seal (an unusual approach these days) by one director signing in the presence of a witness who attests to their signing. by two directors signing (no witnesses are required)

S44 of the Companies Act 2006 provides that valid execution requires signature by "two authorised signatories or a director of the company in the presence of a witness".

2.1. To be validly executed as a deed, each individual must sign the document. Making one's mark on a document is treated as signing it (section 1(4) of the Law of Property (Miscellaneous Provisions) Act 1989).
