It is not good practice to backdate an NDA as there is a risk that a party may have already shared the information disclosed, or refuse to agree to an NDA at a later date.

So, many contracts and agreements are considered and negotiated after trade has begun or eager discussions have already taken place sometimes months past.Thankfully, most jurisdictions allow for contracts, including NDA's, to be signed with a retroactive date. This is commonly referred to as backdating.

The agreement should identify the purpose to which the recipient can put the confidential information. All other uses of the confidential information should be prohibited. Sometimes a confidentiality agreement states that no rights are licensed by the confidentiality agreement. This is stating the obvious.

Non-Confidential Information means information generally available to the public, previously known or in the possession of the other party or which becomes available prior to any disclosure or use thereof from some other source not restricted as to disclosure.

Exclusions from the Definition of Confidential Information Typical exclusions include information that: Is or becomes public other than through a breach of the agreement by the recipient. Was already in the recipient's possession or was available to the recipient on a non-confidential basis before disclosure.

Some of the exception clauses are: Information that is in the public domain. Information that the disclosing party disclosed before signing the agreement. Information received by the receiving party from a third party, wherein the third party was not obliged to keep the information confidential.

Backdating is the practice of marking a document, whether a check, contract, or another legally binding document, with a date that is prior to what it should be. Backdating is usually disallowed and can even be illegal or fraudulent based on the situation.
