A contract addendum refers to a document that serves as an additional agreement to a contract. It is made after the original contract has been signed. The plural to describe multiple agreements is addenda.

Choosing a contract title The title of a contract should simply reflect the nature or central purpose of the agreement, indicating whether it is a licence, confidentiality agreement or other contract.

Contracts generally define the parties by using a functional reference such as licensee, provider, lender, seller, etc. They may also use a shortened name of the company, if appropriate. You may also choose to use your own shortened business name and use the functional reference for the other.

In simple terms, a Change-of-Name Agreement is needed to recognize when a contractor has a legal change of their business name. A Novation Agreement applies in a number of situations (e.g. contractor sells all or a part of the company and the contract is still ongoing).

Joinders are signed by the new party to become party to a contract. A joinder agreement is signed by the new party as well as the legal representatives under the original contract. Only new members or parties need to sign the joinder agreement. All signatories need not sign the joinder agreement.
