The law varies from state to state as to how often a board of directors meeting should be held; however, most are held at least once a year. A board of directors meeting may also be called when momentous decisions are necessary.

Formal notice has to be served to all members before conducting a board meeting. The meeting must always be conducted in the presence of a chairman of the board. Every board meeting has a set agenda that must be followed.No other business, which is not mentioned in the meeting must be considered.

What's In. The minutes should include the title of the group that is meeting; the date, time, and venue; the names of those in attendance (including staff) and the person recording the minutes; and the agenda.

Agenda is a part of notice, which is required to be attached for directors. On the basis of agenda item they will be prepared for board meeting and discussed thereon.

Organization name. Date of meeting. Time the meeting was called to order. Board members present. Name of the presiding officer. Absent board members. Note whether the session meets quorum. Guests and organizational staff present.
