Tennessee Memorandum In Support of Banks Motion to Dismiss

An informal record, in the form of a brief written note or outline, of a particular legal transaction or document for the purpose of aiding the parties in remembering particular points or for future reference. A memorandum may be used in court to prove that a particular contract was made.

In considering a motion to dismiss under Rule 12(b)(6), the court must accept all well-pled allegations in a complaint as true. Albright v. Oliver, 510 U.S. 266, 268 (1994). The court must construe all factual allegations in the light most favorable to the plaintiff.
